Welcome to OpenClaw. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Codebridge Technology, Inc. ("Company," "we," "us," or "our"), a Delaware corporation with its principal office at 8 The Green, Suite 12848, Dover, DE 19901, USA. These Terms govern your access to and use of the OpenClaw platform available at openclaw.gdn and all related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Description of Service
OpenClaw is a software-as-a-service platform that provides each subscriber with a dedicated, isolated virtual machine ("VM") running a personal AI assistant. The Service includes:
- Automated provisioning and management of a dedicated VM with a full instance of an AI-powered assistant;
- Web-based dashboard for managing your instance, channels, billing, and settings;
- Integration with messaging channels (such as Telegram, Discord, and WhatsApp);
- Access to AI language models through included AI budget or your own API keys ("BYOK" — Bring Your Own Keys);
- Optional top-up purchases for additional AI usage beyond the included budget.
2. Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
3. Account Registration
To use the Service, you must create an account by providing accurate and complete information. You may register using a third-party authentication provider (Google, Microsoft, or GitHub) or via email and password.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at contact@codebridge.tech if you become aware of any unauthorized use of your account.
4. Subscription Plans, Billing, and Payments
4.1 Plans
The Service is offered through subscription plans (Free, Starter, Pro, and Business), each with different resource allocations and features. Current plan details and pricing are available on the Service dashboard.
4.2 Free Plan
New users can start with the Free plan at no cost and with no credit card required. The Free plan includes limited resources and welcome credits. To access additional features or higher resource allocations, you may upgrade to a paid plan at any time.
4.3 Payment
All payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your selection). Prices are listed in US Dollars and do not include applicable taxes, which will be added where required by law.
4.4 Top-Up Purchases
You may purchase additional AI usage credits ("Top-Ups") as one-time payments. Top-Up balances do not expire at the end of the billing cycle and are used after your included AI budget is exhausted.
4.5 Refunds
We offer a 7-day money-back guarantee for new subscriptions. If you are not satisfied, you may request a full refund within 7 days of your first payment by contacting us at contact@codebridge.tech. After the 7-day period, subscription fees are non-refundable. Unused Top-Up balances are non-refundable.
4.6 Plan Changes
You may upgrade your plan at any time; upgrades take effect immediately. Downgrades take effect at the end of the current billing period. We reserve the right to modify pricing with at least 30 days' notice; continued use after the effective date constitutes acceptance of the new pricing.
4.7 Payment Failure
If a payment fails, we will notify you and provide a 7-day grace period to update your payment information. If payment is not received within the grace period, your VM may be suspended. Suspended VMs and associated data are retained for 30 days before permanent deletion.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights;
- Generate, store, or transmit content that is unlawful, harassing, defamatory, obscene, fraudulent, or that promotes violence, hatred, or discrimination;
- Distribute malware, viruses, or other harmful code;
- Send spam, unsolicited messages, or phishing communications through AI channels;
- Attempt to gain unauthorized access to other users' VMs, the management infrastructure, or any systems connected to the Service;
- Use the Service for cryptocurrency mining, running unrelated server workloads, or any purpose other than operating the AI assistant;
- Reverse engineer, decompile, or attempt to extract source code from the Service;
- Resell, sublicense, or redistribute access to the Service without our prior written consent;
- Circumvent or attempt to circumvent any security measures, usage limits, or AI budget restrictions.
We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated these acceptable use policies.
6. User Content and Data
6.1 Your Content
You retain all ownership rights to the content you create, upload, or transmit through the Service, including conversations with the AI assistant ("User Content"). We do not claim ownership of your User Content.
6.2 Data Isolation
Each user's data (including conversations and configurations) is stored on a dedicated, isolated virtual machine. We do not have a shared database for user conversations. Your conversation data resides solely on your VM.
6.3 BYOK (Bring Your Own Keys)
If you choose to use your own API keys, those keys are stored exclusively on your VM and are never transmitted to or stored on our management infrastructure. You are solely responsible for managing and securing your own API keys.
6.4 Backup
We do not guarantee backup of User Content. You are responsible for maintaining your own backups of any data you consider important.
7. AI-Generated Content
The Service provides access to third-party AI language models (such as those from Anthropic, OpenAI, and Google). AI-generated responses are provided "as-is" without any warranty of accuracy, completeness, or fitness for a particular purpose. You acknowledge that:
- AI-generated content may contain errors, inaccuracies, or biased information;
- You are solely responsible for evaluating and using AI-generated content;
- AI-generated content should not be relied upon as professional, legal, medical, or financial advice;
- We are not liable for any actions you take based on AI-generated content.
8. Intellectual Property
The Service, including its design, software, features, documentation, trademarks, and all related intellectual property, is and remains the exclusive property of Codebridge Technology, Inc. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during the term of your subscription.
9. Third-Party Services
The Service integrates with and relies on third-party services, including but not limited to Stripe (payment processing), AI model providers (Anthropic, OpenAI, Google), and messaging platforms (Telegram, Discord, WhatsApp). Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.
10. Account Suspension and Termination
10.1 By You
You may cancel your subscription and delete your account at any time through the dashboard or by contacting us. Upon cancellation, your VM will be stopped at the end of the current billing period. Data is retained for 30 days after VM shutdown, after which it is permanently deleted.
10.2 By Us
We may suspend or terminate your account at any time if you violate these Terms, engage in fraudulent or abusive behavior, or if required by law. We may also terminate inactive accounts (no login for 12 months or more) after providing 30 days' notice. Upon termination by us for cause, you are not entitled to a refund.
10.3 Effect of Termination
Upon termination, your right to access the Service ceases immediately. We will delete your VM and all associated data within 30 days of termination, unless retention is required by law. Sections 6, 7, 11, 12, 13, 14, and 15 survive termination.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE MAKE NO REPRESENTATIONS REGARDING THE ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODEBRIDGE TECHNOLOGY, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
13. Indemnification
You agree to indemnify, defend, and hold harmless Codebridge Technology, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) your User Content.
14. Dispute Resolution
14.1 Informal Resolution
Before filing any formal claim, you agree to first contact us at contact@codebridge.tech and attempt to resolve the dispute informally within 30 days.
14.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
14.3 Jurisdiction
Any dispute not resolved informally shall be submitted to the exclusive jurisdiction of the state and federal courts located in Delaware, United States. You consent to personal jurisdiction in these courts and waive any objection based on inconvenient forum.
14.4 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY CLAIMS SHALL BE BROUGHT SOLELY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
15. General Provisions
15.1 Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
15.2 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Codebridge Technology, Inc. regarding the Service and supersede all prior agreements and understandings.
15.3 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
15.4 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
15.5 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
15.6 Force Majeure
We shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, government actions, power outages, internet disruptions, or failures of third-party service providers.
